1. Introduction

Welcome to DefyElement. These Terms & Conditions govern your access to and use of our website, products, and services. By accessing this website or engaging our services, you confirm that you have read, understood, and agreed to be bound by these terms. If you do not agree with any part of these terms, you must discontinue use of our website and services immediately.

2. Services

DefyElement provides professional digital services including but not limited to: web development, website maintenance, UI/UX design, graphics design, CV formatting, ERP systems, custom software development, SEO optimization, hosting assistance, and related IT solutions.

All services are delivered based on mutually agreed proposals, invoices, or written communication defining scope, timeline, deliverables, and pricing. Any services not explicitly mentioned in the agreed scope shall be considered additional work and billed separately.

3. Website Usage

You agree to use this website only for lawful purposes and in a manner that does not violate any applicable laws or regulations of Bangladesh or international law.

You must not:

• Attempt unauthorized access to our servers or systems
• Upload or transmit malicious software, viruses, or harmful code
• Copy, scrape, or misuse website content without written permission
• Engage in activities that may disrupt or damage our website or reputation

4. Payments

All prices are quoted in Bangladeshi Taka (BDT) unless stated otherwise. Projects may require advance payments, milestone-based payments, or full upfront payment depending on the project size and complexity.

Final delivery, source code, files, or deployment may be withheld until all outstanding payments are cleared in full.

Payments once made are non-refundable after project work has started, except where explicitly agreed in writing. Delayed payments may result in service suspension, project delay, or termination.

5. Intellectual Property

All designs, source code, documentation, graphics, and project materials created by DefyElement remain our intellectual property until full payment has been received.

Upon full payment, ownership rights are transferred to the client unless otherwise stated in the agreement. DefyElement reserves the right to showcase completed projects in its portfolio, website, and marketing materials unless confidentiality is requested in writing by the client.

6. Client Responsibilities

Clients are responsible for providing accurate project requirements, content, branding materials, credentials, approvals, and feedback in a timely manner.

Delays caused by incomplete information, late responses, or changes in requirements may result in project timeline extensions and additional costs.

7. Revisions & Support

Reasonable revisions are included as defined in the original project agreement. Requests that significantly alter the original scope, structure, or functionality will be treated as new work and charged accordingly.

Post-delivery technical support duration and coverage depend on the selected service package or agreement. Ongoing maintenance services require a separate maintenance contract.

8. Limitation of Liability

DefyElement shall not be liable for any indirect, incidental, special, or consequential damages including but not limited to: loss of profits, loss of data, business interruption, or reputational damage.

We are not responsible for failures caused by third-party services including hosting providers, domain registrars, payment gateways, APIs, or software platforms.

Our total liability for any claim shall not exceed the total amount paid by the client for the specific service in dispute.

9. Confidentiality

Both parties agree to keep confidential all non-public business information, project details, credentials, technical documentation, and client data.

Confidential information will not be disclosed to any third party except when required by law or with written consent of the client.

10. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the People’s Republic of Bangladesh. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
